These Terms of Service (“Terms”) govern your access to and use of the software services, marketing and business management automation platform, and any related services (collectively, the “Services”) provided by Hub Global Solutions LLC, a Wyoming limited liability company (“Hub Global Solutions,” “we,” “us,” “our”).

By creating an account, accessing, or using our Services, you (“Customer,” “you,” “your”) agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

If you are using the Services on behalf of an organization or entity (“Organization”), you represent and warrant that you have the authority to bind that Organization to these Terms, and in that case, “Customer,” “you,” and “your” will refer to that Organization.

1. Description of Services and License

Hub Global Solutions LLC provides access to an integrated software platform (the “Platform”) as a service (SaaS). This Platform includes, but is not limited to, CRM tools, marketing automation, website and funnel builders, scheduling, and communication.

Subject to your compliance with these Terms and payment of all applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Services strictly for your internal business purposes, during the Term.

You acknowledge that Hub Global Solutions LLC is an authorized reseller of the Platform, which is developed and maintained by a third-party technology provider (the “Base Provider”). Hub Global Solutions LLC is not the original developer of the software but facilitates your access and provides support related to the Services.

2. User Accounts and Security

To access the Services, you must create an account (“Account”). You agree to provide accurate, complete, and current information during the registration process and to update such information to keep it accurate.

You are solely responsible for maintaining the confidentiality of your account credentials (username and password) and for all activities that occur under your Account. You agree to immediately notify Hub Global Solutions LLC of any unauthorized use of your Account or any other breach of security. We will not be liable for any loss or damage arising from your failure to protect your credentials.

3. Customer Responsibilities

3.1. Conduct and Content: You are solely responsible for all content, data, information, text, graphics, videos, or other materials (“Customer Content”) that you or your end-users upload, publish, display, or transmit through the Services. You represent and warrant that you own all necessary rights to use, upload, and distribute the Customer Content and that such use does not violate any applicable law or third-party rights.

3.2. Relationship with Your End Customers: Hub Global Solutions LLC provides the Platform for your business use. We have no direct relationship with your customers, leads, or end-users (“End Customers”). You are entirely responsible for your own interactions with your End Customers. Hub Global Solutions LLC is not responsible for any disputes, claims, losses, injuries, or damages of any kind that may arise from your relationship with your End Customers, including their reliance on any information or functionality provided through the Services.

3.3. Legal Compliance: You must use the Services in strict compliance with all applicable local, state, federal, and international laws, rules, and regulations, including, but not limited to, data privacy laws (such as GDPR, CCPA, LGPD), anti-spam laws (such as CAN-SPAM in the U.S.), and telecommunications regulations (such as TCPA in the U.S.). You are solely responsible for obtaining the necessary consent from your End Customers for communications (email, SMS, calls).

4. Acceptable Use Policy

You agree not to use the Services to:

a) Violate any applicable law, regulation, or rule; b) Send “spam” or any form of unsolicited or duplicative mass communication; c) Transmit any material that is unlawful, harassing, defamatory, abusive, threatening, obscene, harmful, or that infringes on the privacy or publicity rights of others; d) Attempt to gain unauthorized access to the Services, the Base Provider’s systems, or related networks; e) Infringe upon the intellectual property rights of any third party; f) Reverse engineer, decompile, disassemble, or attempt to discover the source code or underlying architecture of the Platform; g) Use the Services to store or transmit viruses, Trojan horses, worms, or other malicious software; h) Use the Services for purposes of performance or availability monitoring, or for any benchmarking or competitive purposes, without our prior written consent.

We reserve the right to immediately suspend or terminate your access to the Services if we determine, in our sole discretion, that you have violated this Acceptable Use Policy.

5. Fees, Payment, and Billing

5.1. Subscription Fees: Access to the Services requires the payment of subscription fees (“Fees”), as detailed on our website (hubglobalsolutions.com) or in a separate order form. Fees are billed in advance on a recurring basis (monthly or annually).

5.2. Payment: You agree to provide valid and current payment information (e.g., credit card). You authorize us to charge your payment method for all recurring Fees, including any applicable taxes.

5.3. Late Payment: If we are unable to process your payment, we will make reasonable attempts to notify you. If payment is not received within a grace period (at our discretion), we reserve the right to suspend or terminate your access to the Services.

5.4. Price Changes: We may change our Fees at any time. We will notify you of any price changes at least 30 (thirty) days in advance. Your continued use of the Services after the effective date of the price change will constitute your acceptance of the new Fees.

5.5. Taxes: All Fees are exclusive of taxes, levies, or duties imposed by taxing authorities. You are responsible for paying all such taxes associated with your purchase.

5.6. Refund Policy: All payments are final and non-refundable, except as required by law or at our sole discretion.

6. Third-Party Services and Integrations

The Services may rely on or integrate with third-party services (e.g., email providers, SMS gateways, payment processors like Stripe). Your use of these third-party services is governed by the terms and privacy policies of those third parties. Hub Global Solutions LLC is not responsible for the performance, availability, or security practices of any third-party services. You are responsible for maintaining your own accounts with such providers and for any associated fees.

7. Intellectual Property

7.1. Ownership of the Services: Hub Global Solutions LLC and its Base Provider retain all right, title, and interest in and to the Platform and the Services, including all underlying software, documentation, and all related intellectual property. These Terms do not grant you any ownership rights in the Services, only the limited license to use described in Section 1.

7.2. Ownership of Customer Content: You retain all right, title, and interest in and to your Customer Content. You grant us (and our Base Provider) a worldwide, royalty-free, non-exclusive license, during the Term, to host, copy, transmit, and display your Customer Content strictly as necessary to provide, maintain, and improve the Services for you.

7.3. Feedback: If you provide us with any feedback, suggestions, or ideas regarding the Services (“Feedback”), you grant us the right to use such Feedback for any purpose, without any obligation or compensation to you.

8. Confidentiality

Each party (“Receiving Party”) agrees to protect the other party’s (“Disclosing Party”) confidential information with the same degree of care it uses to protect its own confidential information, but no less than reasonable care. The Receiving Party will not use or disclose the Disclosing Party’s confidential information for any purpose except as necessary to fulfill its obligations under these Terms.

9. Privacy and Data Protection

Our collection and use of personal information in connection with the Services are described in our Privacy Policy, which is available at [Insert Privacy Policy URL from hubglobalsolutions.com] and is incorporated by reference into these Terms. You are responsible for ensuring that your use of the Services and your collection of data from your End Customers comply with all applicable data protection laws and your own privacy policy.

10. Term and Termination

10.1. Term: These Terms become effective on the date you first access the Services and continue as long as you have an active subscription (“Term”).

10.2. Termination by Customer: You may terminate your subscription at any time by canceling your plan through your Account settings or by contacting us at [email protected]. Termination will be effective at the end of the current billing cycle. No pro-rata fees will be refunded.

10.3. Termination by Hub Global Solutions: We may suspend or terminate your access to the Services, at our sole discretion, for any of the following reasons: a) Material breach of these Terms (including failure to pay Fees); b) Violation of the Acceptable Use Policy (Section 4); c) If we are required to do so by law or by our Base Provider; d) If we decide to discontinue the Services (with reasonable advance notice).

10.4. Effect of Termination: Upon termination, your license to use the Services will immediately cease. You will be responsible for exporting your Customer Content prior to the effective date of termination. We have no obligation to maintain your Customer Content after termination and may permanently delete it.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED, OR STATUTORY.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HUB GLOBAL SOLUTIONS LLC (AND ITS BASE PROVIDER) DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL (A) MEET YOUR REQUIREMENTS; (B) BE UNINTERRUPTED, ERROR-FREE, SECURE, OR TIMELY; OR (C) THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED. YOU ACKNOWLEDGE THAT OUR ABILITY TO PROVIDE THE SERVICES IS DEPENDENT ON THE AVAILABILITY OF THE PLATFORM FROM OUR BASE PROVIDER, OVER WHICH WE DO NOT HAVE FULL CONTROL.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY THE LAW OF THE STATE OF WYOMING:

12.1. Exclusion of Indirect Damages: IN NO EVENT SHALL HUB GLOBAL SOLUTIONS LLC, ITS DIRECTORS, MEMBERS, EMPLOYEES, AFFILIATES, AGENTS, OR ITS BASE PROVIDER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING, BUT NOT LIMITED TO, LOST PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR COSTS OF PROCUREMENT OF SUBSTITUTE SERVICES), ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.2. Liability Cap: THE TOTAL AGGREGATE LIABILITY OF HUB GLOBAL SOLUTIONS LLC TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES (WHETHER IN CONTRACT, TORT [INCLUDING NEGLIGENCE], OR ANY OTHER THEORY OF LIABILITY) SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES ACTUALLY PAID BY YOU TO HUB GLOBAL SOLUTIONS LLC DURING THE 12 (TWELVE) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12.3. Exceptions: The limitations set forth in this Section 12 shall not apply to liability arising from (a) fraud, (b) willful misconduct, or (c) gross negligence of Hub Global Solutions LLC.

13. Indemnification

You agree to defend, indemnify, and hold harmless Hub Global Solutions LLC, its members, directors, employees, affiliates, and agents (“Indemnified Parties”) from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

a) Your use of the Services in violation of these Terms or applicable law; b) Your Customer Content, including any allegation that your Customer Content infringes the rights of a third party; c) Any dispute between you and your End Customers; d) Your gross negligence or willful misconduct.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without giving effect to any principles of conflicts of law.

Any legal action or proceeding arising under these Terms or from the use of the Services shall be brought exclusively in the state or federal courts located in Sheridan County, Wyoming. You and Hub Global Solutions LLC consent to the personal jurisdiction and exclusive venue of these courts.

15. Dispute Resolution and Arbitration

15.1. Informal Negotiation: Before initiating any formal proceeding, we agree to try to resolve any dispute informally by contacting the other party. If you have a dispute, please send a notice to [email protected]. We will attempt to resolve the dispute within 30 days.

15.2. Binding Arbitration: If the dispute is not resolved informally, any dispute or claim (except for injunctive relief) shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Sheridan, Wyoming. The arbitrator’s decision shall be final and binding.

16. Modifications to Terms

We reserve the right to modify these Terms at any time, at our sole discretion. If we make material changes, we will provide notice (e.g., via email or a notice within the Platform). Your continued use of the Services after such notice will constitute your acceptance of the modified Terms.

17. General Provisions

17.1. Entire Agreement: These Terms (including the Privacy Policy) constitute the entire agreement between you and Hub Global Solutions LLC regarding the Services.

17.2. Severability: If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

17.3. No Waiver: The failure of either party to exercise any right provided for herein shall not be deemed a waiver of that right.

17.4. Assignment: You may not assign or transfer these Terms (or your rights to use the Services) without our prior written consent. We may assign these Terms to any affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets.

17.5. Force Majeure: Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including, but not limited to, acts of God, war, terrorism, natural disasters, failures of infrastructure providers (including the Base Provider), or network failures.
